Morales Capital Group signed a letter of intent to acquire the Texas and Florida beverage distribution assets and operations of Green Light Beverage, Inc. and its affiliates, the company said in a November 5, 2026 announcement carried by EIN Presswire. Morales Capital's Letter of Intent for Green Light
Morales Capital Group is a Houston-based, founder-controlled private investment firm founded in 2004 that takes minority and shared-control equity positions in smaller U.S. private businesses and operates through wholly-owned portfolio companies in beverage distribution, 3PL logistics, real estate and data center infrastructure. Green Light Beverage, Inc. and its affiliates operate beverage distribution assets and operations in Texas and Florida.
Morales Beverage Group said the acquisition would expand its footprint in Texas and Florida, which it described as two of the largest spirits markets in the country, backed by 37 years of distribution in Texas. If the transaction is consummated, MBG would bring Green Light's supplier partners and customers onto its platform, adding scale, route density and sales coverage across both states.
Eduardo Morales, Chairman of Morales Capital Group, said: "Texas and Florida are our battleground states. For 37 years in Texas, we have watched distributors come and go. We are still here, and we are here to stay." Morales also said the industry is going through a major reset in which distribution is compressing and suppliers can no longer expect one distribution model to fit every brand, market and stage of growth.
Dusty Odell, CEO of Green Light Beverage, Inc., said: "MBG has the scale, the infrastructure and the commitment to fully support the brands and customers we serve. We believe our supplier partners and customers will have a strong home with MBG." The transaction remains subject to definitive documentation, due diligence and customary closing conditions. Green Light continues to operate while the parties work toward consummating the transaction.
Morales Capital's Beverage and Logistics Portfolio
Morales Capital Group's portfolio spans five companies across real estate, alcohol beverages, HPC data center technology, renewable energy and 3PL warehouse and logistics, according to akta.pro company records. The same records list $600 million in assets under management under firm control and 20 years of firm experience in investment and business operations. Eduardo J. Morales serves as President and CEO of both Mexcor International, a Houston-based distributor of spirits, wine and beer, and Morales Capital Group, the records show.
Closing Target for the Green Light Transaction
The parties currently anticipate closing on or before December 31, 2026, subject to definitive documentation, due diligence and customary closing conditions.
