Enviri Corporation's Harsco Rail division has exited its engineered-to-order contract with Deutsche Bahn, releasing $13 million in performance bonds and about $49 million in restricted cash, with Enviri expecting a net gain of about $19 million. Stock Titan reported the agreement on November 4, 2026.
Enviri's Deutsche Bahn Exit Terms
Enviri provides environmental and operational solutions to the metal and rail industries through Harsco Environmental and Harsco Rail, according to company records. Deutsche Bahn is the German national railway group.
Under the definitive agreement, Harsco Rail repaid advances previously received totaling approximately $73 million that supported the DB project. Enviri had accrued for these obligations and set aside cash from the recent sale of its former Clean Earth division to fund the payments. DB will release the full $13 million in performance bonds supporting the project, and certain other restricted cash totaling approximately $49 million will be released as well. No other payments are required under the agreement, and neither DB nor Harsco Rail will make any payments to the other party related to either the original contract or the release agreement.
Harsco Rail received approximately $8 million in September from its former subcontractor General Atomics, Gleisbaumechanik Brandenburg GmbH (GBM), under an asset sales agreement related to the DB contract. Enviri expects remaining payments of approximately $34 million in the coming quarters, including $15 million to $18 million in 2026. A second payment from GBM of an estimated $15 million to $18 million is expected in December, and a final installment of up to $16 million is anticipated in 2027, upon satisfaction of certain conditions.
"Today's announcement marks the successful completion of our exit from the DB contract and another important milestone in Enviri's strategic transformation and value creation roadmap," said Enviri President and CEO Russell Hochman. "This contract exit removes a significant source of operational and financial uncertainty, enhances our financial flexibility, and advances our commitment to de-risking the business."
Enviri's Clean Earth Sale and Spin-Off
According to akta.pro company records, Enviri sold its Clean Earth division to Veolia Environnement SA for $3.04 billion in June 2026, simplifying its perimeter to two core divisions. The same records show Enviri completed a tax-free spin-off of Harsco Environmental and Harsco Rail as a standalone publicly traded company in June 2026, with shareholders receiving one share of New Enviri for every three shares and $15.00 per share in cash.
Enviri's Earlier Rail Contract Charges
Enviri reported second-quarter earnings that exceeded expectations, with adjusted EBITDA rising over 20% year-over-year despite recording $247 million in unusual items primarily linked to exiting Deutsche Bahn and Network Rail contracts, Markets Daily reported in August 2026. Yahoo reported that adjusted EBITDA rose 22% year over year to $34 million. MarketScreener reported Q2 revenue of $187.3 million.
Enviri's Third Quarter Earnings Date
Enviri will release its third quarter 2026 earnings results on November 5 before the NYSE market opens and host a quarterly conference call and webcast at 9:00 am ET that day, Stock Titan reported in October 2026. Enviri expects to report the net gain of approximately $19 million with its third quarter earnings.
