India's CCI Clears Adani Energy Solutions' Rs 3,050 Crore Purchase of IntelliSmart From NIIF and EESL

India's Competition Commission approved Adani Energy Solutions' Rs 3,050 crore acquisition of IntelliSmart Infrastructure Private Limited from the National Investment and Infrastructure Fund and Energy Efficiency Services Limited, one of five transactions cleared on October 31, 2026. What the IntelliSmart Approval Covers

The regulator said the proposed combination envisages the acquisition of 100% of the equity share capital of the target by the acquirer. The CCI said the deal is expected to strengthen Adani Energy Solutions' presence in India's smart electricity metering sector.

Energy Efficiency Services Limited is a public energy-efficiency company that runs programmes such as UJALA, under which Andhra Pradesh recorded annual energy savings of 2,863 million units and financial savings of around ₹1,145 crore, The Times of India reported in July 2026. IntelliSmart is a smart metering joint venture. NIIF is a co-seller in the transaction.

The CCI cleared four other deals the same day. It approved the merger of Sapphire Foods India Limited with and into Devyani International Limited, a combination expected to create a restaurant business operating more than 3,000 stores globally with an annualised turnover of approximately Rs 8,000 crore. It also cleared Aditya Birla Renewables Limited's acquisition of 100% of Solenergi Power Private Limited from Shell Overseas Investment BV, a transaction valued at approximately Rs 17,200 crore when announced in July that includes Shell's Sprng Energy renewable energy business in India. The regulator approved MIH Payments Holdings BV, an indirect wholly-owned subsidiary of Prosus NV, acquiring certain shareholding in Navi Limited, founded by Sachin Bansal, and Vega SAS's acquisition of a 16.2% stake in Vodafone Group PLC.

IntelliSmart Deal's Path to the CCI

Adani Energy Solutions signed a definitive agreement to acquire 100% of IntelliSmart for ₹3,050 crore, the company announced in August 2026. The Times of India reported in September 2026 that the CCI had sought more information on the combination, and that the deal was expected within 180 days.
