Axalta Coating Systems and AkzoNobel received conditional approval from the European Commission on November 6, 2026, for their all-stock merger of equals, agreeing to divest AkzoNobel's European vehicle refinish business. Stock Titan reported the decision, which leaves the transaction subject to pending regulatory approvals and a closing expected in early 2027.
How the European Commission Remedy Works
Axalta is a Philadelphia-headquartered manufacturer of liquid, powder and electrocoat coatings serving automotive refinish, OEM mobility and industrial markets. AkzoNobel is the Amsterdam-based paints and coatings group behind brands including Dulux, International, Sikkens and Interpon.
The commitments offered address the preliminary competition concerns the European Commission identified by removing the horizontal overlap between the two companies' activities in the European Economic Area, the UK and Switzerland. The companies said no other competition issues were identified in any other markets. The remedy is intended to preserve the same level of competition and customer choice in European vehicle refinish coatings while keeping the strategic benefits of the merger.
The combination would bring together complementary portfolios, technologies and brands, creating a global coatings company with approximately $17 billion in revenue across Powder Coatings, Aerospace Coatings, Refinish, Mobility, Marine and Protective Coatings, Industrial Coatings and Decorative Coatings. Greg Poux-Guillaume, AkzoNobel's CEO, will lead the combined company, with Axalta CEO and President Chris Villavarayan as Deputy CEO.
"Receiving the European Commission's approval is an important milestone as we move closer to completing our merger with Axalta," Poux-Guillaume said. Villavarayan said the companies together "will be better positioned to serve our customers around the world."
Axalta's Scale Ahead of the Combination
According to akta.pro company records, Axalta reported US$5.117 billion in 2025 annual sales, down 3% year-over-year from 2024, while income from operations rose 4% to US$735 million. The company's Q1 2026 net sales were $1.25 billion, a 1% year-over-year decline. The same records list a December 2023 post-IPO debt round of $500 million.
Earlier Steps Toward the Merger
Reuters reported in October 2026 that AkzoNobel and Axalta were near merger approvals, having offered to sell AkzoNobel's vehicle refinish and wood coatings units to secure US and EU clearance, with the EU antitrust decision expected in November. Stock Titan reported on October 15, 2026, that the combined company will be named Axanzo, with a ticker symbol of AXZ, and that the merger has been planned since November 2025.
What Comes Next for the Deal
The transaction is expected to close in early 2027, subject to pending regulatory approvals. The companies have not stated a date for those remaining clearances.
