Pradeep Metals Limited said the National Company Law Tribunal, Mumbai Bench V, sanctioned the amalgamation of Nami Capital Private Limited into the listed forgings maker on October 29, 2026. ScanX reported the order and the share exchange ratios set out in the scheme.
Pradeep Metals' Nami Capital Share Exchange
The Tribunal fixed October 1, 2026 as the appointed date. Equity shareholders of Nami Capital receive 19,007 new Pradeep Metals shares for every 300 existing shares, while preference shareholders receive 1 new share for every 17 existing preference shares, a ratio computed in proportion to the paid-up value of ₹16 per share.
The merger becomes effective only after certified copies of the NCLT order are filed with the Registrar of Companies, Mumbai. Nami Capital will be dissolved without winding up, with its properties, rights, liabilities and powers transferring to Pradeep Metals.
Boards of both companies approved the scheme on March 3, 2025. The stated rationale is fewer administrative and regulatory compliances, a simpler shareholding structure and better capital allocation. The Regional Director's observations on tax compliance and creditor interests were addressed through affidavits, and SEBI and the BSE raised no objections.
Pradeep Metals has paid-up capital of ₹17.27 crore across 1.72 crore equity shares, against ₹96.36 lakh at Nami Capital. The consolidation absorbs Nami Capital's trading in steel metals and securities alongside Pradeep Metals' metal forgings and defence systems business, according to the company's announcement.
