H.B. Fuller Company issued $850 million aggregate principal amount of 7.625% senior unsecured notes due 2034, with the proceeds and existing cash resources replacing the unsecured bridge facility for its recommended cash acquisition of Advanced Medical Solutions Group PLC, Investegate reported. The unsecured bridge credit agreement and its commitments were cancelled on October 21, 2026.

H.B. Fuller's Note Issuance and Bridge Cancellation

The notes were issued under a third supplemental indenture dated October 21, 2026 between H.B. Fuller and U.S. Bank Trust Company, National Association, as trustee, supplementing a base indenture dated February 14, 2017. The Scheme Document stated that the unsecured bridge would finance the acquisition and certain related costs and expenses. The note proceeds, together with existing cash resources available to Bidco, have now replaced the unsecured bridge for those purposes.

AMS and H.B. Fuller announced on June 25, 2026 that they had agreed terms of a recommended cash acquisition under which Bidco, a wholly-owned subsidiary of H.B. Fuller, would acquire the entire issued and to be issued share capital of AMS. The acquisition is being implemented by way of a scheme of arrangement under Part 26 of the Companies Act 2006, subject to the terms and conditions in the circular sent to AMS shareholders dated July 20, 2026. Bidco and H.B. Fuller made earlier announcements about the acquisition financing on September 30, 2026, October 6, 2026 and October 13, 2026.

Goldman Sachs International and Goldman Sachs & Co. LLC are acting as financial advisers to H.B. Fuller, and Perella Weinberg UK Limited is acting exclusively for H.B. Fuller in connection with the matters in the announcement. H.B. Fuller's board unanimously rejected Ancora's second unsolicited, non-binding proposal to acquire its Building Adhesive Solutions segment for $1.2 billion to $1.4 billion in cash, Stock Titan reported, saying the offer price increase did not capture the segment's value and lacked key details.
