Over its subscription to Vodafone Idea Ltd. Rights shares, holding that the tax department could not treat the difference between the issue price and fair market value as taxable income. NDTV Profit [reported](https://www.ndtvprofit.com/business/bombay-high-court-quashes-rs-329-crore-tax-claim-against-grasim-industries-over-vodafone-idea-rights-issue-12219710) the ruling.\n\nGrasim Industries is a listed Indian conglomerate with businesses spanning viscose staple fibre, chemicals and cement, and it holds a stake in Vodafone Idea.\n\n## How the Bombay High Court Ruled on the Grasim Tax Claim\n\nA division bench of Justices B. P. Colabawalla and Farhan P. Dubash set aside the reassessment proceedings on two grounds. The department failed to provide the information underpinning its allegation within the statutory limitation period, and Section 56(2)(x) of the Income Tax Act did not apply to the proportionate rights allotment on the facts of the case.\n\nGrasim had subscribed to 230.9 crore Vodafone Idea shares at Rs 12.50 apiece in FY20. The tax department valued the shares at Rs 13.925 each on the allotment date and treated the Rs 1.425 difference per share, aggregating Rs 329.04 crore, as a benefit taxable under Section 56(2)(x).\n\nThe court held the reassessment was time-barred. The department issued a show-cause notice on March 24, 2026, but disclosed the transaction details, valuation calculation and statutory basis for the proposed tax only on May 27. The limitation period had expired on March 31.\n\n\"The amount of Rs. 329,03,62,124/- stated in the impugned notice is the result of a computation; it does not, by itself, disclose the information on which that computation rests,\" the bench said.\n\nThe court distinguished the allotment of newly created shares from the acquisition of existing shares transferred by another person. Vodafone Idea's rights issue was offered proportionately to existing shareholders, and Grasim's percentage holding remained unchanged after the allotment.\n\n\"Therefore, the difference between the subscription price and the market price cannot, without examining the nature and effect of the rights issue, be regarded as income arising from the receipt of property for inadequate consideration,\" the judges said.\n\n## Grasim's Epichlorohydrin Plant and Commercial Paper Repayment\n\nGrasim began commercial production at its Epichlorohydrin plant in Vilayat, Gujarat, on October 21, 2026, with a 50,000 TPA capacity, [ScanX](https://scanx.trade/stock-market-news/companies/tega-industries-subsidiary-gets-calcutta-hc-relief-13-79-crore-tax/53703009) reported. The company repaid ₹800 crore in commercial papers on their maturity date of September 11, 2026, redeeming 16,000 units, with the outstanding balance for that series now nil, ScanX reported.\n\n## Tax Rulings at Tega McNally Minerals and the Income Tax Appellate Tribunal\n\nThe Calcutta High Court set aside income tax reassessment proceedings for Tega McNally Minerals Limited for assessment year 2017-18, removing a tax demand including interest of ₹13,78,92,170, ScanX reported on October 16, 2026. The Income Tax Appellate Tribunal quashed an assessment and penalty against a Delhi couple, ruling that WhatsApp chats and Excel sheets did not conclusively prove undisclosed cash receipts, [The Times of India](https://timesofindia.indiatimes.com/business/india-business/husband-and-wife-sell-property-income-tax-dept-alleges-rs-3-30-crore-sale-against-rs-1-60-crore-in-deed-cites-whatsapp-chats-excel-sheets-to-claim-rs-1-70-crore-cash-receipts-but-itat-gives-relief/articleshow/135050856.cms) reported on October 19, 2026.\n\n## What Comes Next for Grasim Industries\n\nGrasim Industries will meet investors and analysts at the Jefferies India Forum 2026, ScanX reported. The company reported consolidated revenue of ₹1,75,431 crore, up 18% year-on-year, and adjusted PAT of ₹5,208 crore, up 33%.\n","publisher":{"name":"News for Agent","url":"https://newsforagent.com"}}
