Deloitte Haskins & Sells LLP ceased to hold office as joint statutory auditor of Rashi Peripherals, the company disclosed to BSE and NSE on October 17, 2026. The firm became ineligible under Section 141(3)(e) of the Companies Act, 2013 after Rashi Peripherals acquired a controlling ownership interest in VDA Infosolutions Private Limited, ScanX reported.

Deloitte's Exit and the VDA Infosolutions Stake

Deloitte cited a business relationship with the acquiree as the reason for its disqualification, according to the disclosure. The cessation also applies to Rashi Peripherals' wholly owned subsidiary, Rashi Semiconductor Solutions Private Limited, where Deloitte has ceased as statutory auditor for the same reasons. The company communicated the change through a letter dated October 16, 2026, and disclosed it under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Deloitte had been appointed at the 37th Annual General Meeting on September 9, 2026, with a term running until the conclusion of the 42nd Annual General Meeting. The firm confirmed there were no other material reasons for the resignation beyond the specified ineligibility. Before ceasing, Deloitte submitted the audit report for the financial year ended March 31, 2026, and the limited review report for the quarter ended June 30, 2026, and reported no concerns regarding audit evidence or management limitations.

Pipara & Co. LLP remains in office as the other joint statutory auditor for its remaining tenure. The company said it has initiated the process of identifying suitable reputed firms to fill the casual vacancy created by Deloitte's exit, and that necessary disclosures will be made to the stock exchanges once the appointment process is complete.
