The proposal was published by [Business Wire](https://www.businesswire.com/news/home/20261015724791/en/).\n\n## Triad's Fourth Proposal to M&F Bancorp\n\nTriad Business Bank has made four written proposals to M&F's Board since August 6, 2026, the most recent on October 8. Under Proposal Four, each M&F shareholder may elect $53.50 in cash at closing, available for up to 25% of the outstanding shares and prorated above that, or 1.25 shares of M&F Bancorp for each share now held. The cash is $0.20 more than the maximum the Optus agreement pays, and none of it is contingent on anything after closing.\n\nThe Optus agreement provides \"up to\" $46.57 in cash at closing and a further $6.73 only if the Series E preferred is redeemed before or within twelve months after closing, \"up to\" $53.30 in all. M&F's shareholders did not approve the Optus agreement on October 7, and the meeting was adjourned to October 20. M&F's Board decided Triad's proposal on October 14 and has not told its shareholders the terms.\n\n\"Triad has made four proposals. The last one pays more cash at closing on the shares that take cash, up to one in four, than the Optus agreement provides on any share, and lets the rest stay owners of M&F, with its name, its charter and its Durham home office kept,\" said Jonathan Lee Kelly, a director of Triad.\n\n## Triad Business Bank's Financial Position\n\nAccording to akta.pro [company records](https://akta.pro/company-data), Triad Business Bank reported full year 2025 net income of $1.4 million, reversing a $4.3 million loss in 2024, driven by a 28 bps net interest margin expansion to 2.46% and 7% loan growth to $400.5 million. Total assets stood at $530.9 million as of December 31, 2025. The bank closed $6 million of additional capital and reduced structural operating costs by $2 million annually in Q2 2024.\n\n## Triad Business Bank's Recent Results\n\nTriad Business Bank reported unaudited second quarter 2026 results on August 6, 2026, with net income declining 64% year-over-year to $78,000 due to a sharp increase in provision for credit losses to $319,000 from $21,000 in the prior year quarter, according to FinancialContent Business Page. The bank reported Q1 2026 net income of $404,000, up from $199,000 a year earlier, with net income per share of $0.05 versus $0.02, according to Business Wire Blog. Net interest margin rose 36 basis points to 2.63%, and net interest income increased $540,000 to $3.4 million.\n\n## Triad Business Bank's October 21 Plans\n\nTriad asks the Board to disclose the proposal by the Board's own Friday 5:00 p.m. deadline and to meet before Tuesday. Proposal Four does not expire with the vote. If the Optus agreement is not approved, Triad will be in Durham on October 21 with the draft agreement, ready to sign.\n","publisher":{"name":"News for Agent","url":"https://newsforagent.com"}}
