The agreement provides for a full write-off of about £1 billion of Class B debt in exchange for a recovery of about 5.9% in post-restructured equity and participation rights.\n\n## Thames Water's Class B Creditor Terms\n\nTradingView [published](https://www.tradingview.com/news/reuters.com,2026-10-16:newsml_RSP3856Za:0-reg-thames-wtr-util-ltd-recapitalisation-update-class-b-creditors/) the company's announcement that the Class B TSA is legally binding on its parties and was entered into by the company, certain Class A creditors and certain Class B creditors, including an ad hoc group of Class B creditors. The Class B terms remain subject to overall agreement of the terms of the recapitalisation, and the company said there is no certainty that the recapitalisation will be finally agreed or that the Class B terms will ultimately be implemented.\n\nUnder the terms, Class B creditors will receive post-restructured equity giving a recovery of about 5.9%, the right to participate in £150 million of any new equity contemplated by the recapitalisation, and 5.9% participation rights in respect of certain additional tiers of new debt or preferred equity. The company intends to continue servicing interest payments on Class A and Class B debt in full in cash up to the completion date of any recapitalisation. No fees or costs will be payable by the company under the Class B TSA unless and until the recapitalisation happens, and any such fees or costs will be funded from the proceeds of the recapitalisation and not met using customer funds.\n\nThe company said it does not currently have sufficient certainty that its restructuring plan, RP2, can be implemented before certain senior debt matures and the stable platform period expires in March 2027. Its parent, Thames Water Utilities Holdings Limited, therefore intends to implement a further interim transaction to extend the maturities of certain senior debt instruments and the stable platform period. The consenting Class B creditors have agreed to support both that extension transaction and the recapitalisation, subject to the Class B terms being included in any recapitalisation proposed by the group and to [Ofwat](https://akta.pro/company-profiles/0003w17/ofwat) having launched a public consultation in relation to the recapitalisation on or before 30 December 2027.\n\n## Thames Water's Funding and Network Scale\n\nAccording to akta.pro [company records](https://akta.pro/company-data), Thames Water serves 16 million customers across London and the Thames Valley and reported statutory net debt of £17.6 billion in its H1 2025/26 results. The same records show a creditor consortium, London & Valley Water, submitted a £10 billion rescue proposal in March 2026 comprising £3.35 billion of new equity and up to £6.55 billion of new debt, including a 30% Class A debt write-off.\n\n## Debt Talks Before the Class B Agreement\n\nThames Water was seeking £2.4 billion ($3.2 billion) in additional funding from creditors to keep operating while debt talks dragged on, Bloomberg reported on October 15, 2026, and had raised its super-senior facility to £5.4 billion from £3 billion, providing cash through autumn 2027. The Telegraph reported on October 2, 2026, that the utility was seeking a £2.4 billion lifeline after its rescue plan stalled due to political opposition, with its £3 billion rescue loan due to run out in December.\n\n## Ofwat Consultation Deadline\n\nThe consenting Class B creditors' support for the recapitalisation is subject to Ofwat having launched a public consultation in relation to the recapitalisation on or before 30 December 2027. The company said discussions with its remaining financial stakeholders in relation to the terms of the recapitalisation are expected to continue.\n","publisher":{"name":"News for Agent","url":"https://newsforagent.com"}}
